Terms of Service | Kuboid Secure Layer

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "User") and Kuboid Secure Layer ("Provider", "We", "Us") regarding your access to and use of our cybersecurity services, website, and associated deliverables.

1. Authorization & Scope of Services

By engaging Kuboid Secure Layer for penetration testing, vulnerability assessment, or social engineering services, you explicitly authorize us to perform simulated cyberattacks against the systems, networks, and applications defined in the Statement of Work (SOW).

You represent and warrant that you own or have obtained all necessary third-party consents for the targets specified in the scope.
We shall strictly adhere to the Rules of Engagement (RoE) agreed upon prior to the commencement of active testing.
Any testing beyond the agreed scope is strictly prohibited and requires a separate written amendment.

2. Confidentiality & Non-Disclosure

We acknowledge the sensitive nature of the data we handle.

2.1. Our Obligations

Kuboid Secure Layer agrees to hold all Client Data, including vulnerability reports, credentials, and network diagrams, in strict confidence. We utilize industry-standard encryption and access controls to protect your information.

2.2. Client Obligations

You agree not to publicly disclose the specific methodologies, custom exploits, or proprietary tools used by Kuboid Secure Layer without our prior written consent.

3. Payment & Billing Terms

Unless otherwise specified in a custom SOW:

Invoicing: Invoices are generated upon the signing of the agreement or as per the milestone schedule defined in the SOW.
Payment Terms: Full payment is due within the timeframe specified on the invoice (typically Net 15 or Net 30).
Late Fees: We reserve the right to suspend services or withhold final reports for overdue accounts.

4. Intellectual Property Rights

Upon full payment, you are granted a non-exclusive, perpetual, internal-use license to the Final Reports and deliverables. Kuboid Secure Layer retains all ownership rights to our underlying methodologies, know-how, and pre-existing intellectual property utilized to generate said reports.

5. Disclaimer & Limitation of Liability

No Guarantee of Total Security: Security is a moving target. While we employ state-of-the-art methodologies, we cannot guarantee that your systems will be invulnerable to all future attacks. Our services represent a point-in-time assessment.

Limitation: To the maximum extent permitted by law, Kuboid Secure Layer's liability shall be limited to the amount actually paid by the Client for the specific service giving rise to the claim. We shall not be liable for any indirect, incidental, or consequential damages.

6. Termination

Either party may terminate the agreement for a material breach that remains uncured for 30 days. In the event of termination:

You agree to pay for all services rendered up to the effective date of termination.
We will securely destroy all Client data in our possession, unless legally required to retain it.
